Steven R. Foletta is a high-tech corporate and licensing attorney practicing in Silicon Valley since 1984, including several years at Wilson Sonsini, several years at Skadden Arps (SF office), and five years as a partner in the Palo Alto office of Oppenheimer, Wolff & Donnelly LLP.  Mr. Foletta primarily represents high-tech, start-up, and emerging companies in the areas of corporate finance and governance, technology transactions, and mergers and acquisitions.

Mr. Foletta has extensive experience with software, patent, and other technology licensing agreements, software and technology development agreements, technology transfer agreements, and other high-tech agreements.  Mr. Foletta also has considerable experience structuring, drafting, and negotiating Internet-related agreements, including website development agreements, content provider agreements, membership and user agreements, privacy policies, terms and conditions of use, and services agreements.

Mr. Foletta represents clients in financing transactions (including venture capital and angel financings, other private placements, investments in venture funds, other limited partnerships, and public offerings), M&A transactions, and general corporate law matters (including board and shareholder meetings, employment agreements, stock option and purchase plans, distribution agreements, proprietary information agreements, confidentiality agreements, etc.).

He has practiced in Silicon Valley since 1984 representing high-tech start-up and emerging companies as well as Pacific Rim and European companies and their U.S. subsidiaries.  He also practiced in San Francisco for Skadden Arps for over four years mainly representing public companies in M&A transactions and financings.

Mr. Foletta received his juris doctor from Boalt Hall at the University of California at Berkeley in 1984, and he received his political science and computer science degrees with honors and his MBA from the University of California at Berkeley.  He is a member of the State Bar of California and the American Bar Association Business Law section.
